Performance Sports Group Ltd
On October 31, 2016, Old PSG Wind-down Ltd. (formerly Performance Sports Group Ltd.) and 17 of its indirect or wholly-owned subsidiaries (collectively, the
) each filed for Court protection under the
Companies’ Creditors Arrangement Act
in Canada with the Ontario Superior Court of Justice, Commercial List. The cases are pending before the Honorable Justice Newbould and the Applicants’ cases are jointly administered under the Court file # CV-16-11582-00CL. On the same date, the Applicants also filed voluntary petitions under Chapter 11, Title 11 of the
United States Bankruptcy Code
in the District of Delaware.
On October 31, 2016, the Applicants announced that they had entered into a stalking-horse asset purchase agreement with a group of investors led by Sagard Capital Partners, L.P. and Fairfax Financial Holdings Limited (together, the
"Stalking Horse Purchaser"
) for the sale of substantially all the Applicants’ assets.
The Applicants pursued a sale through a court supervised restructuring process which led to the sale of such assets to the Stalking Horse Purchaser on February 28, 2017. Since the conclusion of the sale, the Applicants’ operations have been transferred to and are continuing through new legal entities controlled by the Stalking Horse Purchaser.
